Banking & Capital Markets
In common with Corporate Finance, this elective is designed to
provide you with an understanding of the law and regulatory
requirements which underpin a City banking practice. It is of
particular relevance to those of you who are about to undertake
training contracts with either City firms or large provincial
practices.
The course deals with the different ways of raising debt
finance:
- in the banking market through loans, either bilateral or
syndicated loans; or
- in the capital markets through the issue of debt securities
such as bonds or commercial paper.
The course also covers the principal aspects of secured lending
and guarantees.
Banking is a technical and specialised area, as much concerned
with the methods and practices of the market places in which the
finance is being arranged as with the applicable law. The legal
element is concerned with the specialist application of contract
law, while regulatory requirements cover listings, International
Primary Market Association Rules, the clearing systems, Bank of
England and FSA regulations.
Given its specialist nature, the aim will be to ensure that you
gain a sound knowledge and understanding of the underlying
objectives in which financial transactions are based as well as the
applicable legal and regulatory framework. You will also further
develop your drafting and negotiating skills on the course.
The content of the full-time and part-time course is identical,
but they are structured differently.
